Investment Services

In Malta, Investment Services are regulated under the Investment Services Act (the ‘Act’), chapter 370 of the Laws of Malta. This industry is overseen by the Malta Financial Services Authority (MFSA), which is the sole authority responsible for the financial services industry in Malta. Under the Act, an ‘investment service’ is defined as ‘any service falling within the First Schedule when provided in relation to an instrument. The services listed under the First Schedule are the following:

  • Reception and transmission of orders in relation to one or more instruments;
  • Execution of orders on behalf of other persons;
  • Dealing on own account;
  • Management of Investments;
  • Trustee, custodian or nominee services;
  • Investment advice;
  • Underwriting of instruments and, or placing of instruments on a firm commitment basis;
  • Placing of instruments without a firm commitment basis;
  • Operation of a Multilateral Trading Facility.

In order for the services listed above to be classified as an investment service, they must be provided together with an instrument. The Act defines an ‘instrument’ as being ‘any instrument, contract or right falling within the Second Schedule to this Act and whether or not issued in Malta’. The term covers a wide range of investment and financial products, including transferable securities and units in collective investment schemes.

In Malta, it is mandatory that every investment services provider holds a valid investment services licence. It is established under the Investment Services Act that no person or body corporate, unincorporated body or association may provide an investment service unless in possession of a valid investment services licence. The MFSA is responsible for issuing such licences. Maltese law establishes four different categories of licences, and it is in the discretion of the MFSA to decide which category an applicant falls within.
